These Terms of Service (“Terms”) govern your access to and use of the zenoplayer website, accounts, digital products, subscription services, software-related services, communication tools, promotional activities, and any other products or services that reference or incorporate these Terms.

zenoplayer is based in the United States and currently offers products and services to users and customers in the United States and Canada.

By accessing our website, creating an account, purchasing a product or subscription, submitting content, participating in a promotion, or otherwise using zenoplayer, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the applicable services.

1. Eligibility

You may use zenoplayer only if you are legally capable of entering into a binding agreement under the laws applicable to you.

If you are under the age of majority in your jurisdiction, you may use zenoplayer only with the involvement and authorization of a parent or legal guardian where required by law.

By using our services, you represent that the information you provide is accurate and that your use of zenoplayer does not violate applicable law.

2. Description of Services

zenoplayer provides digital products, account-based services, software-related services, subscription services, website functionality, customer support, and other digital features that may be made available from time to time.

Specific features, supported devices, functionality, subscription benefits, technical requirements, pricing, availability, and service limitations may be described on individual product, pricing, checkout, account, or support pages.

We may add, modify, replace, improve, suspend, or discontinue features as reasonably necessary for technical, security, legal, commercial, or operational reasons.

3. Account Registration

Certain zenoplayer features require you to create a registered account.

When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.

You are responsible for protecting your username, password, authentication credentials, and other account access information.

You must not knowingly allow unauthorized persons to access your account in violation of these Terms.

If you believe your account has been compromised, you should contact us promptly and change your credentials where possible.

4. Account Responsibility

You are responsible for activity conducted through your account unless applicable law provides otherwise.

You may not impersonate another person, create an account using false information, register an account for fraudulent purposes, or use another person's account without authorization.

We may require reasonable verification of account ownership before making account changes, providing transaction information, processing cancellation requests, or addressing security concerns.

5. Purchases and Paid Services

zenoplayer offers products and services that may require payment.

Before completing a purchase, you are responsible for reviewing the applicable product description, price, billing frequency, subscription term, features, limitations, and other material information displayed during checkout.

By submitting an order, you authorize zenoplayer and its applicable payment processors to charge the payment method you provide for the amount presented during checkout, including applicable taxes where required.

All prices are stated in U.S. dollars unless otherwise indicated.

6. Subscription Services

zenoplayer may offer recurring monthly and annual subscription plans.

Current subscription offerings may include:

zenoplayer Standard Monthly: $14.99 per month.
zenoplayer Standard Annual: $149.99 per year.

The price displayed during checkout at the time of purchase controls the applicable transaction.

Subscription terms, including recurring billing, cancellation, renewal, pricing, and related matters, may also be governed by our Subscription Policy.

7. Automatic Renewal

Unless otherwise stated during checkout, recurring zenoplayer subscriptions may automatically renew at the end of each applicable billing period.

A monthly subscription may renew approximately once each month, and an annual subscription may renew approximately once each year.

By purchasing a recurring subscription, you authorize zenoplayer and its payment processor to charge your applicable payment method until the subscription is cancelled or otherwise terminated.

You are responsible for cancelling before the next renewal date if you do not want the subscription to renew.

8. Subscription Cancellation

Where account-based subscription management is available, you may cancel an eligible subscription using the applicable account features.

If you are unable to cancel through your account, you may contact us using the information provided at the end of these Terms.

Deleting software, uninstalling an application, ceasing to use the service, or failing to log in does not automatically cancel a recurring subscription.

Cancellation generally prevents future renewal charges but does not automatically create a right to a refund for an already-paid subscription period.

9. Refunds

Refunds are subject to our applicable Refund Policy and any mandatory consumer protection rights.

Because zenoplayer primarily provides digital products and services, payments for digital services that have already been activated or made available may generally be non-refundable except where otherwise stated, approved by zenoplayer, or required by law.

Refund requests involving duplicate charges, billing errors, unauthorized transactions, or significant verified technical failures may be reviewed individually.

Submitting a refund request does not guarantee approval.

10. Payment Processing

Payments may be processed through independent third-party payment providers.

Such providers may collect and process billing, payment card, transaction, authentication, or fraud prevention information according to their own terms and privacy policies.

zenoplayer may not directly store complete payment card numbers where transactions are processed entirely by a third-party payment processor.

You should never send full payment card numbers, passwords, security codes, or other highly sensitive payment credentials to zenoplayer by ordinary email.

11. Taxes

You are responsible for applicable taxes associated with your purchase to the extent permitted by law.

Depending on your location, applicable sales tax, digital services tax, provincial tax, goods and services tax, harmonized sales tax, or other governmental charges may be calculated and collected.

12. User-Submitted Content

zenoplayer may allow users to submit, upload, transmit, or provide content, including text, images, messages, comments, feedback, support requests, contact form submissions, chat messages, or other materials (“User Content”).

You retain ownership of rights you lawfully hold in your User Content.

However, by submitting User Content to zenoplayer, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, and otherwise use that User Content only as reasonably necessary to operate, secure, support, improve, or provide the relevant service, subject to applicable law and our Privacy Policy.

This license does not transfer ownership of your User Content to zenoplayer.

13. User Content Responsibilities

You represent and warrant that you have all rights, licenses, permissions, and consents necessary to submit any User Content that you provide.

You must not submit User Content that:

Infringes copyright, trademark, privacy, publicity, or other rights;
Contains unlawful, fraudulent, defamatory, threatening, abusive, or malicious material;
Contains malware, malicious scripts, viruses, or harmful code;
Violates applicable law;
Contains personal information you are not authorized to disclose;
Attempts to deceive, impersonate, or defraud another person;
Promotes unauthorized or unlawful activity; or
Otherwise violates these Terms or other applicable zenoplayer policies.

14. Content Moderation

We reserve the right, but are not obligated, to review, restrict, remove, disable, or refuse User Content when we reasonably believe doing so is necessary to enforce these Terms, protect users, maintain security, respond to legal requirements, prevent abuse, or protect our rights.

Removal of User Content does not automatically entitle a user to a refund.

15. Acceptable Use

You agree to use zenoplayer only for lawful purposes and in accordance with these Terms.

You may not use zenoplayer to:

Commit or facilitate fraud;
Gain unauthorized access to systems, accounts, networks, or data;
Distribute malware or malicious code;
Attempt to bypass authentication, access controls, licensing restrictions, or security mechanisms;
Interfere with website or service availability;
Conduct denial-of-service attacks;
Use automated tools in a manner that materially disrupts our services;
Engage in copyright or intellectual property infringement;
Use the service in violation of applicable law;
Resell access without authorization;
Scrape or reproduce protected zenoplayer content in violation of these Terms; or
Use zenoplayer to distribute content that you do not have the legal right to access, use, or distribute.

16. Personal Media and Third-Party Content

Users are responsible for ensuring that they have the legal right to access, use, store, transmit, stream, share, or otherwise process any media or content used in connection with zenoplayer.

zenoplayer does not grant users rights to third-party movies, television programs, music, images, software, publications, or other copyrighted materials.

The availability of technical functionality does not mean that any particular use of that functionality is legally authorized.

17. Intellectual Property Rights

The zenoplayer website, services, branding, and proprietary content are protected by intellectual property laws.

The zenoplayer name, logo, trademarks, service marks, branding, visual identity, website design, layouts, written text, product descriptions, graphics, images, photographs, illustrations, icons, interface elements, software-related materials, audiovisual materials, documentation, and other original content appearing on or through zenoplayer.app are owned by or licensed to zenoplayer unless expressly stated otherwise.

All rights not expressly granted to users are reserved.

You may not copy, reproduce, republish, modify, distribute, publicly display, sell, sublicense, scrape, commercially exploit, create derivative works from, or otherwise use zenoplayer proprietary materials without prior written permission, except where applicable law expressly permits such activity.

18. Limited License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, zenoplayer grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the applicable services for their intended purposes.

This limited permission does not transfer ownership of zenoplayer software, content, trademarks, intellectual property, or technology to you.

19. Feedback

If you voluntarily submit suggestions, ideas, recommendations, feature requests, comments, or other feedback about zenoplayer, you grant us permission to use that feedback for purposes such as improving, developing, marketing, and operating our products and services without an obligation to compensate you, except where prohibited by law.

You should not submit confidential information as general product feedback unless a separate confidentiality agreement applies.

20. Promotions, Sweepstakes, and Giveaways

zenoplayer may conduct promotions, discounts, contests, sweepstakes, giveaways, referral programs, or other promotional activities.

Such activities may be governed by additional official rules, eligibility requirements, geographic limitations, entry periods, prize terms, and disclosure requirements.

If promotional rules conflict with these Terms concerning the specific promotion, the applicable promotional rules will control for that promotion.

Promotional benefits may not be redeemable for cash except where expressly stated or required by law.

21. Third-Party Websites and Services

zenoplayer may contain links to or integrations with third-party websites, applications, payment processors, hosting services, analytics providers, communication platforms, or other third-party services.

Third-party services are operated independently and may be governed by separate terms and privacy policies.

zenoplayer does not control independent third-party websites and is not responsible for their content, availability, security, privacy practices, or business practices, subject to rights that cannot legally be excluded.

22. Third-Party Trademarks

All third-party product names, company names, trademarks, logos, software names, and other proprietary identifiers remain the property of their respective owners.

Reference to a third-party product or service does not necessarily imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

23. Service Availability

We aim to provide reliable services, but we do not guarantee that zenoplayer will be available without interruption, delay, error, security incident, or technical failure.

Services may be unavailable because of maintenance, upgrades, software errors, network failures, hosting provider interruptions, third-party service failures, cybersecurity incidents, force majeure events, or other circumstances.

We may temporarily suspend services where reasonably necessary to protect security, investigate abuse, perform maintenance, comply with law, or protect users.

24. Software and Technical Requirements

Certain zenoplayer products may require compatible hardware, software, operating systems, networks, devices, or third-party technologies.

You are responsible for reviewing applicable system requirements before purchasing or using a product.

We do not guarantee compatibility with every device, operating system version, network configuration, third-party platform, or hardware configuration.

25. Updates

zenoplayer may release software updates, bug fixes, security patches, feature changes, compatibility updates, or other modifications.

Certain updates may be necessary to continue using a product safely or correctly.

You are responsible for maintaining reasonably current software and supported devices where necessary.

26. Suspension and Termination

We may suspend, restrict, or terminate access to zenoplayer where reasonably necessary because of:

Non-payment;
Fraud or suspected fraud;
Security threats;
Unauthorized access;
Illegal activity;
Material violations of these Terms;
Intellectual property infringement;
Abuse of our systems;
Harm to other users; or
Legal or regulatory requirements.

Where appropriate and legally required, we may provide notice or an opportunity to address the issue before termination.

Immediate suspension may occur where necessary to prevent security, legal, financial, or operational harm.

27. Effect of Termination

Upon termination, your right to use terminated services may end.

Sections of these Terms that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, payment obligations, disclaimers, liability, indemnification, dispute provisions, and other accrued rights.

28. Privacy

Our collection and use of personal information is governed by our Privacy Policy and applicable privacy laws.

By using zenoplayer, you acknowledge that certain personal information may be processed as reasonably necessary to provide accounts, purchases, subscriptions, security, support, analytics, and other services.

29. Security

We use reasonable technical, administrative, and organizational measures designed to protect our services and user information.

However, no internet-based system can be guaranteed to be completely secure.

You are responsible for using appropriate security practices, including protecting passwords, securing devices, installing updates, and avoiding suspicious communications.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENOPLAYER AND ITS SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE EXTENT PERMITTED BY LAW, ZENOPLAYER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, ERROR-FREE, COMPLETELY SECURE, COMPATIBLE WITH EVERY DEVICE, OR FREE FROM INTERRUPTION.

Nothing in this section excludes warranties or consumer rights that cannot legally be excluded.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENOPLAYER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES.

THIS MAY INCLUDE LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

WHERE LIABILITY CANNOT LEGALLY BE EXCLUDED, OUR LIABILITY WILL BE LIMITED ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Some jurisdictions do not allow certain exclusions or limitations, so some of the limitations above may not apply to you.

32. User Responsibility for Data

You are responsible for maintaining appropriate backups of important data, files, media, text, images, and other information that you use with zenoplayer.

You should not rely on zenoplayer as the sole permanent storage location for irreplaceable information unless a particular service expressly provides such storage guarantees.

33. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless zenoplayer and its operators, affiliates, contractors, service providers, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the services, your violation of these Terms, your infringement of third-party rights, or User Content that you submit in violation of applicable law.

This provision does not apply to the extent prohibited by applicable consumer law.

34. Force Majeure

zenoplayer will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, internet outages, major network failures, labor disputes, power failures, cloud provider outages, cybersecurity events, or other force majeure events.

35. United States Users

zenoplayer is based in the United States and offers services to customers in the United States.

Your rights may vary depending on applicable federal and state law.

Nothing in these Terms is intended to waive or restrict any consumer right that cannot legally be waived or restricted.

Where mandatory federal or state consumer protection law provides greater protection than these Terms, the mandatory law will apply.

36. Canadian Users

zenoplayer also offers products and services to customers in Canada.

Canadian customers may have rights under applicable federal, provincial, and territorial laws relating to consumer contracts, privacy, electronic commerce, subscription renewals, refunds, warranties, and other matters.

Nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable Canadian law.

37. Governing Law

These Terms will be governed by applicable laws of the United States and, where relevant, the laws of the state in which the applicable zenoplayer business operator is established, without giving effect to conflict-of-law principles, except where mandatory consumer law requires otherwise.

For customers located in Canada or another jurisdiction, mandatory local consumer protection laws may continue to apply where they cannot legally be waived.

38. Dispute Resolution

If you have a dispute concerning zenoplayer, we encourage you to contact us first so that we may attempt to resolve the matter informally.

Nothing in these Terms prevents either party from exercising rights available under applicable law.

Any dispute that cannot be resolved informally may be brought before a court or other competent legal forum with jurisdiction under applicable law.

39. No Waiver

If zenoplayer does not immediately enforce a provision of these Terms, that does not mean we waive the right to enforce the provision later.

A waiver is effective only where legally valid and expressly given.

40. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.

Where appropriate, the invalid provision will be interpreted or modified to reflect its intended purpose as closely as legally permitted.

41. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent where such restriction is permitted by law.

zenoplayer may assign these Terms as part of a merger, acquisition, corporate restructuring, asset transfer, business sale, or similar transaction, subject to applicable law.

42. Entire Agreement

These Terms, together with policies and disclosures expressly incorporated by reference, constitute the agreement between you and zenoplayer concerning the use of the applicable services.

Separate product-specific terms, promotional rules, checkout disclosures, subscription terms, or written agreements may supplement these Terms.

43. Changes to These Terms

zenoplayer may update these Terms from time to time to reflect changes in our products, services, subscriptions, technology, business operations, security practices, legal obligations, or policies.

When these Terms are updated, we may revise the “Last Updated” date displayed at the top of this page.

Where required by law, we may provide additional notice of material changes.

Your continued use of the services after updated Terms become effective may constitute acceptance of the revised Terms to the extent permitted by law.
